Beeye Terms of Use

These terms of use (the "Terms") govern access to and use of the website available at https://www.mybeeye.com (the "Site"). They also govern, on a supplementary basis, access to the Beeye web application (the "Platform") where no written agreement applies. By visiting the Site or using the Platform, you agree to be bound by these Terms. Beeye may update them at any time: the applicable version is the one published on this page, identified by its version date. The clauses of these Terms are independent of one another: if any of them is held invalid or unenforceable, the others remain in full force. These Terms are a translation provided for convenience; the French version prevails in case of discrepancy. Questions: info@mybeeye.com.

Publisher and purpose of the Site

The Site is published by Solutions Beeye Inc. ("Beeye"), a corporation incorporated in Québec under the Business Corporations Act, with its head office at 4335 avenue Charlemagne, Montréal (Québec) H1X 2H2, Canada.

The Site presents Beeye, its workload planning, time tracking and profitability Platform, and its services. It provides contact and demo request forms, as well as an online chat with the Beeye team for visitors and certain Platform users.

Relationship with client agreements

Use of the Platform by client firms and companies is governed by a separate written agreement: the Beeye Master SaaS Agreement and its schedules (statement of work, service level agreement, support services, data processing agreement). In the event of a conflict between these Terms and a signed agreement between Beeye and a client, the agreement prevails.

These Terms do not create any right to use the Platform for persons who are not covered by a client agreement or by access expressly granted by Beeye (demo, trial environment).

Intellectual property and trademarks

Beeye retains all rights in the Site and the Platform, including its technologies and artificial intelligence models, its training datasets, its templates, connectors, data models and methodologies, as well as the texts, graphic and multimedia elements, downloadable documents and source code. The trademarks and logos displayed are protected by applicable copyright, intellectual property and trademark laws.

Any use, reproduction, extraction, distribution or modification of the content of the Site or the Platform, in whole or in part, for any purpose and on any medium, requires Beeye's prior written consent. Any breach may be treated as infringement. Quotations from the Site, the blog or the Platform, use of the logo and deep links must be approved by Beeye in advance; Beeye may request the removal of any infringing content.

Acceptable use

You agree to use the Site and the Platform in accordance with applicable laws and these Terms. In particular, it is prohibited:

  • to attempt to access the Platform, other users' accounts, Beeye's servers or databases without authorization;
  • to conduct penetration tests, vulnerability scans or attempts to bypass security measures without Beeye's prior written consent;
  • to collect content from the Site or the Platform by automated means (bulk extraction, harvesting, scraping), including to build datasets or train artificial intelligence models;
  • to disrupt the operation of the Site or the Platform (deliberate overload, malicious code injection, abnormal use);
  • to use the Site or the Platform to infringe third-party rights or distribute unlawful content.

Visitors and users remain responsible for the information they provide to Beeye and for their actions, as well as for the consequences of abnormal or unlawful use caused to Beeye or third parties.

Accounts and access security

Access to the Platform is provided through named user accounts. The client and its users are responsible for keeping their credentials confidential and for the actions performed from their accounts. The Platform supports single sign-on (SSO) via Office 365 / Entra ID, with multi-factor authentication inherited from the client's directory; Beeye recommends enabling it. Any suspected fraudulent use must be reported to Beeye without delay.

Availability, maintenance and support

Beeye uses commercially reasonable efforts, consistent with recognized industry standards, to keep the Site and the Platform available. The Site may be interrupted for maintenance, updates or causes beyond Beeye's reasonable control, without such interruption giving rise to compensation.

For clients, the service levels applicable to the Platform (including the monthly availability objective and planned maintenance windows with prior notice), as well as support channels and response times, are defined in the schedules to the agreement. They are commitments of means.

Warranties and limitation of liability

The information published on the Site is provided for information purposes. Beeye makes reasonable efforts to keep it up to date, without warranting that it is at all times complete, accurate and error-free. Subject to the express warranties granted in writing to clients and to what cannot be excluded by law, Beeye disclaims all other implied warranties, including fitness for a particular purpose.

To the fullest extent permitted by applicable law: (i) Beeye is not liable for indirect or consequential damages (including loss of profits, revenue or data) related to the use of the Site; (ii) Beeye's liability towards Platform clients is governed by the caps and exclusions set out in their agreement, which also defines the applicable exceptions (including gross negligence or willful misconduct and breaches of security and data protection obligations). Nothing in these Terms limits any liability that cannot be limited by law.

External links and third-party content

The Site may contain hyperlinks to third-party websites whose data collection, use and disclosure practices may differ from ours. Beeye has no control over those sites and cannot be held responsible for their content or their practices. We encourage users to review the privacy policies of any third-party site they visit.

Personal data

The collection and processing of personal data through the Site and the Platform are described in the Privacy Policy, which sets out Beeye's roles (controller for the Site, processor for client data on the Platform), the purposes, retention periods, subprocessors and your rights under the GDPR, Québec's Law 25, PIPEDA and Canada's Anti-Spam Legislation. For clients, the data processing agreement attached to their contract prevails on these matters.

Payments

Client subscription and service fees, invoicing and payment terms are defined in the applicable agreement and statement of work. Beeye does not store credit card information; any card payment, where applicable, is processed by a third-party payment provider, with payment information encrypted in transit and at rest in line with current cybersecurity recommendations.

Suspension and termination

Beeye reserves the right to suspend or terminate, with notice where circumstances permit, any access to the Site or the Platform arising from fraudulent or unlawful use or use contrary to these Terms.

For clients, the term, renewal, termination (including for material breach not cured after written notice) and the consequences of non-payment (possible suspension after a written notice remains without effect, only for undisputed overdue amounts) are governed by the agreement. Upon expiry or termination of an agreement, Beeye provides an export mechanism for the client's data in a structured, commonly used and machine-readable format during the reversibility period set out in the agreement, before return or final deletion.

Force majeure

Beeye is not liable for any delay or failure to perform caused by an event beyond its reasonable control, including natural disaster, war, act of a public authority, widespread failure of a cloud infrastructure provider or a cyberattack of exceptional magnitude occurring despite protection measures consistent with industry standards, subject to reasonable efforts to resume performance.

Changes to these Terms

Beeye may amend these Terms to reflect changes in its services, best practices or regulations. The version in force, identified by its version date, is the one published on this page; material changes are announced on the Site. Continued use of the Site after publication constitutes acceptance of the updated Terms. For clients, the amendment terms set out in their agreement prevail.

Governing law and jurisdiction

These Terms are governed by the laws of the Province of Québec and the laws of Canada applicable therein. Any dispute relating to the Site will be brought before the competent courts of the district of Montréal (Québec), subject to applicable mandatory protection rules. Client agreements define their own governing law and jurisdiction (for example, French law and the courts of Paris for clients established in France), which prevail for contractual disputes.

Miscellaneous

Beeye's failure to exercise a right under these Terms does not constitute a waiver of that right. If any provision is held invalid, it is deemed amended to the minimum extent necessary and the other provisions remain in force. Electronic signatures have the same value as handwritten signatures in documents entered into with Beeye. The French version of these Terms prevails over any translation.
